By creating an account or using RegBridge, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the platform.

These terms constitute a legally binding agreement between you (or the organisation you represent) and RegBridge Ltd, a company registered in Nigeria.

RegBridge is an AI-powered compliance intelligence platform that helps Nigerian blockchain and crypto businesses understand their regulatory obligations. The platform provides:

• AI-generated compliance assessments based on SEC DARE, CBN, NFIU, NDPC, and FIRS requirements
• AI-generated draft compliance documents including AML policies, VASP applications, and KYC frameworks
• A directory of verified compliance officers
• Introduction requests connecting companies with compliance professionals

RegBridge is an information technology tool, not a law firm. Nothing on this platform constitutes legal advice, and no attorney-client relationship is formed by your use of RegBridge.

All content generated by RegBridge's AI is based on publicly available regulations and is intended as a starting point for compliance planning. It may be incomplete, out of date, or inapplicable to your specific circumstances.

You must verify all compliance recommendations with a qualified Nigerian legal professional or licensed compliance officer before submitting any application or document to a regulator.

RegBridge accepts no liability for any regulatory action, fine, rejection, or legal consequence arising from reliance on AI-generated content from this platform.

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You must notify us immediately at support@regbridge.ng if you suspect unauthorised access to your account.

You must be at least 18 years old and have the legal authority to enter into agreements on behalf of any organisation you represent.

RegBridge offers paid subscription plans (Starter, Pro, Enterprise) processed through Paystack. By subscribing, you authorise RegBridge to charge your payment method on a recurring monthly basis.

All prices are quoted in Nigerian Naira (₦) unless otherwise stated. Prices include applicable taxes where required by law.

Refund policy: Subscription fees are non-refundable except where required by law. If you cancel your subscription, you retain access until the end of your current billing period.

Price changes: We will give you at least 30 days notice before changing subscription prices. Continued use after the price change takes effect constitutes acceptance of the new price.

Compliance officer listings: Listing fees paid by compliance officers are non-refundable once your listing has been approved and activated. If your application is rejected, your listing fee will not be charged.

You agree not to:

• Use RegBridge for any unlawful purpose or in violation of any Nigerian law
• Attempt to gain unauthorised access to any part of the platform or another user's account
• Reverse engineer, decompile, or attempt to extract the source code of the platform
• Use the platform to generate content that facilitates money laundering, fraud, or other financial crimes
• Submit false or misleading information in a compliance officer application
• Abuse the introduction request feature to spam compliance officers
• Use automated tools to scrape or extract data from the platform

By applying as a compliance officer, you confirm that all information in your application is accurate and truthful. Providing false information, including false claims of SEC registration, is grounds for immediate removal and may be reported to relevant authorities.

RegBridge reserves the right to verify your credentials and remove your listing at any time if it believes your listing does not meet our standards.

RegBridge does not guarantee any minimum number of introductions or clients for listed officers. The listing fee is for placement in the directory only.

By accepting introduction requests, compliance officers agree that the client relationship is solely between themselves and the client. RegBridge is not a party to any engagement between officers and clients and accepts no liability for the outcome of those engagements.

RegBridge and its content, features, and functionality are owned by RegBridge Ltd and are protected by Nigerian and international intellectual property laws.

You own the compliance documents and assessment outputs generated for you. By generating content on our platform, you grant RegBridge a limited licence to store and display that content to you within the platform.

You may not redistribute, resell, or publicly share AI-generated content from RegBridge as if it were original legal work without appropriate attribution and professional review.

To the maximum extent permitted by Nigerian law, RegBridge Ltd shall not be liable for:

• Any regulatory action, fine, or sanction resulting from reliance on AI-generated compliance content
• Any indirect, incidental, or consequential damages arising from use of the platform
• Loss of business, revenue, or profit arising from use or inability to use the platform
• The conduct or advice of any compliance officer listed in our directory

Our total liability to you in any calendar year shall not exceed the total amount you paid us in subscription fees in that year.

You may cancel your subscription and delete your account at any time from Settings. Account deletion is permanent and irreversible.

RegBridge may suspend or terminate your account if you breach these terms, engage in fraudulent activity, or for any other reason with 14 days notice except in cases of serious breach where immediate termination may occur.

These terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from these terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

We may update these terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of RegBridge after changes take effect constitutes your acceptance of the updated terms.
